Terms & Conditions

1. Acceptance of terms

By accessing or using adern.dev (the "Site") or any service provided by Adern ("we", "us", "our"), you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the Site or our services.

2. Services

Adern offers web development, custom software development, SEO, digital marketing and related professional services. Specific deliverables, timelines and fees are agreed in a separate written proposal or statement of work signed by both parties.

3. Payments

Unless otherwise agreed in writing, invoices are payable within 14 days of issue. Late payments may attract interest at 1.5% per month. We reserve the right to suspend services on overdue accounts.

4. Intellectual property

Upon full payment, all custom code, designs and deliverables created by Adern for the client become the property of the client. Pre-existing tools, libraries and frameworks owned by Adern or third parties remain under their original licenses.

5. Confidentiality

Both parties agree to keep confidential information disclosed during the engagement private. This obligation survives termination of the engagement.

6. Limitation of liability

To the maximum extent permitted by law, Adern is not liable for indirect, incidental or consequential damages arising out of the use of our services. Total liability is capped at the fees paid in the 12 months preceding the claim.

7. Termination

Either party may terminate the engagement with 30 days written notice. Fees for work completed up to the termination date remain payable.

8. Governing law

These terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka.

9. Changes to these terms

We may update these terms occasionally. We will notify clients of material changes by email. Continued use after the update constitutes acceptance.
